North Shore-LIJ Expands to Westchester

Phelps Memorial Hospital in Sleepy Hollow, N.Y., took a first step toward joining the North Shore-LIJ Health System on Monday, when Phelps’ board of directors unanimously voted to approve a letter of intent to explore the move. The letter allows both parties to begin the due diligence process and enter into exclusive negotiations. The goal is to execute a final agreement by late summer. Phelps, which was previously part of the Stellaris Network, would become NS-LIJ’s first hospital in Westchester County if state regulators approve the deal. In late March, NS-LIJ confirmed to Pulse that it had been courting Phelps for some time, but also was in talks with Northern Westchester Hospital. NS-LIJ Chief Executive Michael Dowling said in a statement that Phelps would continue to operate as a full-service hospital after an agreement is finalized. Phelps CEO Keith Safian said joining the NS-LIJ network would allow the hospital “to participate in new models of health delivery, e.g., population health management and accountable care organizations, which we could not do effectively as an independent hospital.”

Westchester Hospital Eyes North Shore-LIJ

Officials for Phelps Memorial Hospital Center, a hospital in Westchester County, have sent a letter to the North Shore-LIJ Health System inquiring about joining the Long Island-based health provider.
North Shore-LIJ officials said the letter of intent allows them to begin due diligence and negotiations with the Sleepy Hollow hospital. The two entities are looking at a deal in which the hospital could be folded into the North Shore-LIJ system, much the way Lenox Hospital in Manhattan did. North Shore-LIJ would assume debt as well as the hospital’s assets. If all goes according to plan, North Shore- LIJ officials said they could reach a final agreement with the 58-year-old hospital by late summer, giving the health system a foothold north of New York City for the first time.

Phelps Chairman of the Board Richard Sinni said the move would “ensure our stability in the changing healthcare environment, including healthcare reform.”

Phelps Memorial is a 238-bed community hospital with more than 1,600 employees. The hospital cares for more than 8,000 inpatients and 325,000 outpatients annually.

Phelps is one of four hospitals formerly of the Stellaris Network that is seeking to join larger health systems. Other hospitals cutting ties with Stellaris include White Plains, Lawrence in Bronxville and Westchester in Mount Kisco. Lawrence reached a deal with New York-Presbyterian Hospital while White Plains has joined with Montefiore Health System in the Bronx.
